But Intel executives argued growing security dangers require new measures, describing the acquisition as an essential step to design chips and other hardware that can protect systems better than software alone.
Intel and McAfee executives said the conventional approach of installing and updating new software safeguards on all those devices simply won’t work.
“We believe security will be most effective when enabled in hardware,” Intel Chief Executive Paul Otellini said in a conference call.
The pact is another sign of consolidation that is reshaping the technology landscape. Cash-rich tech giants are using acquisitions to push into faster-growing markets, in some cases moving out of their strongholds to create new combinations of hardware and software.
One answer is that Intel had $16 billion of cash burning a hole in its pocket, given today’s low interest rates. Second, it was shopping for revenue growth and margins as much as new functionality. Analysts expect McAfee to boost sales 8% annually the next two years, double Intel’s 4% growth rate. And McAfee’s 80% gross margins are significantly higher than Intel’s, which have fluctuated between 46% and 65% the past 15 years.

Look at this latest comments on this aquisition from businessweek, when talking about Intel’s Atom embedded processors,
In its largest acquisition ever, Intel in mid-August purchased security software maker McAfee (MFE) for $7.68 billion. The company’s rationale: With all these Atom-powered gizmos connected to the Internet, they’re going to come under the same kind of virus and malware attacks that plague PCs. That will require protection, which works better if the software is built into the chips.
